BACKGROUND TO THE ROLE
The Chair plays a pivotal role on the Board. The role of Vice or Deputy Chair has traditionally been an option available to Boards to support the work of the Chair and the Board. The Vice Chair or Deputy Chair role has often been specific to the company, the situation and the individual.
In some jurisdictions this role has been formalised in particular for listed companies and specific responsibilities have been set out to provide comfort to shareholders, as well as an additional communication channel. The resulting Lead or Senior Independent Director (LID / SID) is typically defined within the context of the local Corporate Governance Code and listing requirements and therefore varies across jurisdictions.
